At the conclusion of licence negotiations, the TTO will lead the final discussions on behalf of the university, ensuring that all agreed plans for future IP development and commercialisation, including your involvement, are properly reflected in the agreement.
The TTO should keep you informed of any significant changes to the commercial terms proposed by the licensee during this final stage. However, it is generally best to allow the experienced TTO team to handle these negotiations directly.
Once both parties agree on the final terms, the TTO will:
• review the final contractual arrangements with you
• discuss any additional actions needed to ensure compliance with the agreement.
For example, in an exclusive licence, the university may retain the right to use the licensed IP for academic research, but might be required to obtain the licensee’s written consent before collaborating with a specific competitor. Your TTO should clearly explain which research rights are preserved for the institution under such agreements.
