LICENSEE
Negotiation overview.
The licensee will be involved in all the negotiation stages, working with the TTO to reach a position that is mutually agreeable to all parties to the licence.
Licensee review of Heads of Terms and licensee agreement
The licensee will need to work with the TTO to agree on the Heads of Terms (HoT) and the licence agreement. Other agreements, including contract/collaborative research and consultancy agreements, may also need to be developed and signed at the same time as the licence. Consequently, this negotiation phase may be lengthy and involve multiple rounds of communication and meetings.
Export and security approvals
The licensee must comply with the University’s export control and security guidelines. In addition, the licensee must agree to market restrictions that prohibit the use of the University’s intellectual property in certain regions or sectors. The licensee may also be required to make specific declarations to the government under the National Security & Investment Act.
