The licensing organisation, having been a key party in the negotiations, will expect all terms agreed during those discussions, typically set out in the HoTs, to be fully reflected in the final licence agreement. This is essential to support its planned development roadmap and commercial objectives.

Licensee approval

At this stage, engagement with the TTO is typically led by staff from business development, legal, or procurement teams, although technical staff are likely to be informed of ongoing communications. The lead contact from these teams will confirm when final approval has been granted to proceed with the deal and will identify the individual authorised to sign on behalf of the licensee.

Signed Licence Agreement

Once the University and the Licensee have signed the IP licence agreement, the University should undertake its post-deal checklist to ensure both initial and regular continuing actions and call-ups are put in place and followed up. If information, materials, software is expected to be provided, then coordination with both TTO staff and probably the academic/research staff involved will be required. Both the staff of the licensee, along with TTO staff at the University, should familiarise themselves with the performance reporting obligations of the licence and be aware of when any annual (or other regular) accounting reporting and payments to be made are due.
